Terms of Service & User Agreement

1. Acceptance of Terms

These Terms of Service and User Agreement ("Terms") form a binding legal agreement between you ("User", "you") and Rural Roots Trading Co. ("Company", "we", "us", "our"). By accessing, browsing, registering for, subscribing to, or otherwise using the Rural Roots Trading Co. website, mobile applications, or related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines. If you do not agree, you must not use the Platform.

2. Eligibility Requirements

You must be at least eighteen (18) years of age, or the age of legal majority in your state or jurisdiction (whichever is greater), to create an account or use the Platform. By using the Platform you represent and warrant that you meet this requirement, that you have the legal capacity to enter into this agreement, and that you are not barred from using the Platform under the laws of the United States or any other applicable jurisdiction.

3. Subscription Terms

Access to certain Platform features requires a paid subscription. Subscription fees, billing cycles, renewal terms, and cancellation procedures are disclosed at the point of purchase and are incorporated into these Terms by reference. Subscriptions renew automatically until cancelled. Except where required by law, subscription fees are non-refundable. We reserve the right to modify pricing, features, or subscription tiers with reasonable notice.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to promptly update such information as needed. You must immediately notify us of any unauthorized access to or use of your account. We may suspend or terminate accounts that contain false, incomplete, or misleading information.

5. Marketplace Role and Platform Disclaimer

Rural Roots Trading Co. is an online classified marketplace and communication platform. The Platform provides technology that allows users to post listings, discover other users, and communicate directly with one another. Rural Roots Trading Co. is not a party to any transaction between users. Specifically, the Company:

All transactions, negotiations, meetings, exchanges, deliveries, payments, and disputes occur directly and exclusively between users, at their sole risk.

6. User Responsibilities

You agree to use the Platform lawfully, honestly, and respectfully. You will not misrepresent yourself or any item, harass or threaten other users, transmit malicious code, scrape or overload the Platform, or attempt to circumvent security or access controls. You are solely responsible for your conduct, communications, listings, and transactions.

7. Seller Responsibilities

Sellers are solely and exclusively responsible for the legality, ownership, quality, safety, condition, labeling, packaging, licensing, permitting, inspection, disclosure, description, pricing, and delivery of anything they offer, list, sell, or trade. Sellers represent and warrant that they have the full legal right to sell or trade each listed item; that the item is accurately described; and that the sale or trade complies with all applicable federal, state, and local laws, regulations, and licensing requirements.

8. Buyer Responsibilities

Buyers are solely responsible for evaluating listings, communicating with sellers, inspecting items in person before completing a transaction, verifying legality and provenance, arranging safe payment and pickup, and complying with all applicable laws. Buyers assume all risk associated with any transaction initiated through the Platform.

9. Compliance with Federal, State, and Local Laws

Users are solely responsible for compliance with all applicable federal, state, county, and municipal laws, ordinances, regulations, licenses, permits, tax obligations, inspections, and reporting requirements applicable to their listings, transactions, and conduct. Nothing on the Platform constitutes legal, tax, regulatory, veterinary, agricultural, or professional advice.

10. Food Sales Disclaimer

Listings for food, produce, prepared foods, canned goods, cottage foods, baked goods, dairy, eggs, meat, poultry, seafood, honey, or other edible products are subject to federal, state, and local food safety laws, including but not limited to USDA, FDA, state department of agriculture, state health department, cottage food laws, and county health regulations. Sellers are solely responsible for proper handling, storage, labeling, allergen disclosure, licensing, permits, and inspection. The Company does not verify food safety and disclaims all liability for illness, injury, or damages arising from food or edible items exchanged between users.

11. Agricultural Products Disclaimer

Listings for hay, feed, seed, produce, plants, nursery stock, fertilizer, chemicals, or other agricultural inputs may be subject to state department of agriculture rules, quarantine regulations, pesticide restrictions, and interstate transport requirements. Users are solely responsible for compliance and for verifying product quality, origin, and suitability.

12. Livestock Sales Disclaimer

Sales, trades, and transport of livestock (including cattle, horses, sheep, goats, swine, poultry, and exotic animals) are subject to strict federal and state regulations, including brand inspection, health papers, Coggins testing, veterinary certificates, interstate movement permits, and species-specific requirements. Sellers are solely responsible for animal health, disease disclosure, humane handling, transport, and legal compliance. Buyers are solely responsible for inspection, veterinary evaluation, quarantine, and lawful transport. The Company disclaims all liability for animal health, injury, death, or regulatory violations.

13. Equipment Sales Disclaimer

Equipment, machinery, tools, vehicles, trailers, firearms (where lawful), and other durable goods are sold "AS IS, WHERE IS" with all faults. Sellers are solely responsible for accurate description, disclosure of defects, valid title, lien status, safety, and legality. Buyers are solely responsible for inspection, testing, title transfer, registration, insurance, and safe operation.

14. Labor and Service Listings Disclaimer

Listings for labor, contract work, day work, ranch hands, hauling, fencing, welding, landscaping, or other services do not create an employment, agency, partnership, or joint venture relationship between users or between any user and the Company. Users independently arrange scope, compensation, insurance, workers' compensation, tax reporting, and licensing as required by law.

15. Barter and Trade Disclaimer

Barter and trade transactions are direct exchanges between users. The Company does not value, appraise, or guarantee any item traded. Users are solely responsible for the fair market valuation, tax reporting (including IRS Form 1099-B where applicable), and legality of barter transactions.

16. User-Generated Content

You retain ownership of content you submit to the Platform (listings, photos, descriptions, messages, reviews). By submitting content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and distribute such content for the purpose of operating, promoting, and improving the Platform. You represent that you own or have all necessary rights to the content you submit.

17. Intellectual Property

The Platform, including its software, design, trademarks, logos, and content created by the Company, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works without our express written permission.

18. Listing Rules

Listings must be accurate, lawful, and posted in the correct category. Listings must include genuine photographs and truthful descriptions. Duplicate, misleading, spam, or off-topic listings may be removed without notice.

Users should exercise caution and common sense. Never send money to a user you have not met. Be wary of prices that seem too good to be true, off-platform payment requests, or pressure tactics. Report suspicious activity to our Help team.

21. Identity Verification Disclaimer

The Company does not perform identity verification, background checks, credit checks, or criminal record checks on users. The Company does not guarantee that any user is who they claim to be. Users interact with one another at their own risk.

22. "As Is" Marketplace Disclaimer

The Platform, and all listings and content on it, are provided "AS IS" and "AS AVAILABLE" without warranty of any kind. All items offered by users are offered "AS IS, WHERE IS" with all faults.

23. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ANY WARRANTY REGARDING USER CONDUCT OR LISTINGS.

24. Assumption of Risk by Users

You knowingly and voluntarily assume all risks associated with using the Platform and with meeting, communicating, and transacting with other users, including risks of physical injury, illness, property damage, financial loss, fraud, theft, and any other harm.

25. Inspection Before Purchase Requirement

Buyers are strongly urged, and by using the Platform agree, to personally inspect any item before completing a purchase or trade. The Company assumes no responsibility for items purchased sight-unseen.

26. Safe Meeting Recommendations

When meeting another user, choose a well-lit public location when practical, bring a friend, share your location, inspect items in daylight, and trust your instincts. Meetings on private property (farms, ranches, homesteads) are common in agricultural trade; exercise appropriate caution.

27. Payment Responsibility

All payments occur directly between users using methods of their choosing (cash, check, electronic transfer, trade, etc.). The Company never handles, processes, escrows, refunds, or guarantees any payment. Payment disputes are strictly between the users involved.

28. Taxes

Users are solely responsible for determining, collecting, reporting, and remitting all applicable federal, state, and local taxes (including sales, use, income, and self-employment taxes) arising from their transactions.

29. Recordkeeping

Users are responsible for maintaining their own transaction records, receipts, bills of sale, health papers, brand inspections, and other documentation required by law or prudent business practice.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THE USER TO THE COMPANY IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

31. Disclaimer of Damages

THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, ILLNESS, PROPERTY DAMAGE, FRAUD, THEFT, LIVESTOCK LOSS, FOODBORNE ILLNESS, TRANSPORTATION LOSS, LICENSING VIOLATIONS, OR REGULATORY PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

32. Indemnification by Users

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your listings, your transactions with other users, your breach of these Terms, or your violation of any law or third-party right.

33. Release of Claims Between Users

You release the Company (and its officers, directors, employees, and agents) from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any other user of the Platform. If you are a California resident, you waive California Civil Code §1542.

34. No Agency Relationship

Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between you and the Company or between you and any other user.

35. Dispute Resolution

Before initiating any formal proceeding, users agree to attempt in good faith to resolve any dispute with the Company by contacting us and providing thirty (30) days to respond.

36. Arbitration Clause

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in the State of Texas. Judgment on the award may be entered in any court of competent jurisdiction. This clause does not apply where prohibited by applicable law.

37. Class Action Waiver

To the maximum extent permitted by law, you and the Company agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

38. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to the arbitration clause above, the exclusive venue for any court action shall be the state and federal courts located in Texas.

39. Termination of Accounts

We may suspend, restrict, or terminate any account at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time through account settings. Termination does not entitle you to a refund of subscription fees except as required by law.

40. Right to Remove Listings

We reserve the right, but assume no obligation, to review, edit, refuse, or remove any listing or content at any time, for any reason, without notice.

41. DMCA / Intellectual Property Complaints

If you believe content on the Platform infringes your copyright, please send a written notice that complies with 17 U.S.C. §512(c)(3) to our designated agent at the contact information below. Repeat infringers will be terminated.

42. Privacy Reference

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and safeguard your information. Please review it carefully.

43. Electronic Acceptance of Terms

By checking the acceptance box during account creation, clicking "Create account", or continuing to use the Platform, you agree to these Terms electronically pursuant to the federal E-SIGN Act and applicable state electronic signature laws. Your electronic acceptance has the same legal effect as a handwritten signature. The Company records, where permitted by law, the timestamp, IP address, account identifier, and version of the Terms accepted, as a legally admissible record of your acceptance.

44. Modification of Terms

We may modify these Terms from time to time. Material changes will be communicated by reasonable means (such as posting the revised Terms with a new effective date and, where appropriate, notifying registered users). Continued use of the Platform after the effective date of revised Terms constitutes acceptance.

45. Contact Information

Questions, notices, and DMCA complaints may be sent to Rural Roots Trading Co. via the in-Platform Help & Support form or through the contact information posted on the Platform.

46. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary and the remaining provisions shall remain in full force and effect.

47. Entire Agreement

These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior or contemporaneous understandings.

Recordkeeping recommendation. The Platform records (where permitted by law) the timestamp, IP address, account ID, and Terms version accepted each time a user checks the acceptance box during account creation, as a legally admissible record of consent.
